1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “Merchant”, or “User”) and Shiveda IT Services regarding your access to our website and the use of the OneSpace software application.

By purchasing a subscription, downloading, installing, or using OneSpace, you agree to be bound by these Terms. If you do not agree, do not install or use the software.

2. Software License & Service Grant

Subject to your active subscription plan, Shiveda IT Services grants you a non-exclusive, non-transferable, revocable right to access and use OneSpace for your internal business operations.

OneSpace is offered through two distinct options:

• OneSpace Desktop: Installed locally on compatible Windows PC devices, where core billing and transactional records reside on your local machine.
• OneSpace Cloud: Accessed via supported modern web browsers, where transactional records are hosted on cloud servers.

Desktop and Cloud operate as separate environments and do not automatically synchronize business transactions. Your subscription applies to the environment provisioned for your account. Contact support to discuss available migration options if you wish to change environments.

3. Subscriptions & License Validation

• Subscription Cycles: Subscriptions are billed in advance on a monthly or annual basis as selected during purchase.
• License Verification: OneSpace requires an internet connection during application launch or session authentication to communicate with our licensing server and verify your active subscription status.
• Plan Renewals: To maintain uninterrupted access, subscriptions must be renewed prior to their expiration date. If a subscription lapses, license validation will indicate an expired state until renewed.

4. Local Data & Backup Responsibility

OneSpace stores your operational and financial records locally in your device's database. You acknowledge and agree that you are solely responsible for:

• Maintaining regular, secure backups of your local database files to external media
• Ensuring the physical security, anti-virus protection, and integrity of your computer hardware
• Maintaining uninterrupted power supply (UPS) to prevent unexpected database corruption during sudden power failures

Shiveda IT Services does not possess copies of your local database and cannot recover data lost due to hardware failure, operating system corruption, or missing local backups.

5. Statutory Tax & GST Responsibility

OneSpace provides GST-ready invoicing and accounting calculation features (including CGST, SGST, IGST, and HSN codes). However, you remain solely responsible for the legal correctness of your tax filings, returns, rate selections, and compliance with Indian GST laws. OneSpace is a calculation and management tool and does not provide legal, statutory, or tax advice.

6. Restrictions on Use

You agree that you will not:

• Decompile, reverse-engineer, disassemble, or attempt to derive the source code of OneSpace
• Bypass, modify, or disable any license verification or software protection mechanism
• Sublicense, lease, rent, or distribute the software to third parties without prior written consent
• Use the software for any unlawful purpose or in violation of applicable laws and regulations

7. Limitation of Liability & Warranty Disclaimer

OneSpace is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by applicable law, Shiveda IT Services disclaims all warranties, express or implied, including merchantability or fitness for a particular purpose.

In no event shall Shiveda IT Services be liable for any indirect, incidental, special, or consequential damages, including loss of business, profits, or data. Our total aggregate liability under any claim arising out of these Terms shall not exceed the subscription fees paid by you for OneSpace during the three (3) months preceding the event giving rise to liability.
